What are the main decisions I need to make in creating a One-Page NDA?

  • Confidential information will be defined generally to include any information disclosed by you to the recipient. You can choose to specify the confidential information or leave it generic.
  • This agreement allows recipients to disclose information with your prior written consent. However, note that privity of contract prevents you from suing third parties directly in case of breach. You can choose to obligate the recipient to make sure that the third party also keeps information confidential by having them sign a separate NDA.

Both are enforceable, but the Long Form Confidentiality Agreement offers more modifications and options like having up to 5 named parties the disclosing group and receiving group.
